We sponsor over 60 needy students yearly. We provide them with daily meals thus alleviating the challenge from their parents. We also sponsor orphans and vulnerable children at the school. We provide school shoes and uniforms annually thereby allowing them to experience dignity as they learn. In addition to this, every four years, we sponsor identified students who have performed exceptionally well in KCPE and fund the top performers through high school. This year was no different. Fredrick Ochieng emerged as the best candidate and was enrolled at Ofafa Jericho School in Nairobi. Ofafa Jericho is a reputable school that has groomed countless Kenyan talents throughout its history. We had the honor of hosting Fredrick and his mother as they made a courtesy call at our offices in May 2024. At FinCredit®, we believe that by impacting the life of a child positively we will have impacted a whole generation! #### Data Processing Terms & Conditions FINCREDIT LIMITED DATA PROCESSING TERMS AND CONDITIONS     These are the Data Processing Terms and Conditions (the “Data Processing Terms”) on which Fincredit Limited (“Fincredit”), provide the Service (as herein defined) to customers (the “Customer”).   WHEREAS:   1) Under an agreement between the Customer and Fincredit (the “Service Agreement”) Fincredit provides to the Customer the Service described in the Service Agreement. 2) The provision of the Service by Fincredit may involve it in processing Personal Data on behalf of the Customer. 3) Under the Data Protection Act 2019 (the “Act”) (Article 28, paragraph 3), the Customer is required to put in place an agreement in writing between the Customer and any organisation which processes personal data on its behalf governing the processing of that data. 4) The Parties have agreed to follow the Data Processing Terms to ensure compliance with the said provisions of the ACT in relation to all processing of the Personal Data by Fincredit for the Customer. 5) The Data Processing Terms are to apply to all processing of Personal Data carried out for the Customer by Fincredit and to all Personal Data held by Fincredit in relation to all such processing. 6) The Data Processing Terms shall form a part of the Service Agreement.   IT IS AGREED as follows:   1. DEFINITIONS AND INTERPRETATION   In the Data Processing Terms, unless the context otherwise requires, the following expressions have the following meanings:   1.1. “Customer”, “Data Processor”, “processing”, and “data subject” shall have the meanings given to the terms in Clause 2 of the ACT; 1.2. “ODPC” means the Office of the Data Protection Commissioner, Kenya; 1.3. “Personal Data” means all such “personal data”, as defined in Article 2 of the ACT for as long as it is directly applicable in Kenya and any successor legislation in Kenya to the ACT, as is, or is to be, processed by Fincredit on behalf of the Customer, as described in the Service Agreement; 1.4. “Service” means those services and/or facilities described in the Service Agreement which are provided by Fincredit to the Customer and which the Customer uses for the purposes described in the Service Agreement; 1.5. “Sub-Processor” means a sub-processor appointed by Fincredit to process the Personal Data; and 1.6. “Sub-Processing Agreement” means an agreement between Fincredit and a Sub-Processor governing the Personal Data processing carried out by the Sub-Processor, as described in Clause 10. 1.7. Unless the context otherwise requires, each reference in the Data Processing Terms to: 1.7.1. “writing”, and any cognate expression, includes a reference to any communication effected by electronic or facsimile transmission or similar means; 1.7.2. a statute or a provision of a statute is a reference to that statute or provision as amended or re-enacted at the relevant time; 1.7.3. the “Service Agreement” is a reference to collectively the Just Cash® Loans Service; the Terms and Conditions; the Data Protection and Privacy Policy; and the Data Processing Terms as amended or supplemented at the relevant time; 1.7.4. a Clause or paragraph is a reference to a Clause of the Data Processing Terms. 1.7.5. a “Party” or the “Parties” refer to the parties to the Service Agreement 1.8. The headings used in the Data Processing Terms are for convenience only and shall have no effect upon the interpretation of the Data Processing Terms. 1.9. Words imparting the singular number shall include the plural and vice versa. 1.10. References to any gender shall include all other genders. 1.11. References to persons shall include legal persons.   2. SCOPE AND APPLICATION OF THE DATA PROCESSING TERMS   2.1. The provisions of the Data Processing Terms shall apply to the processing of the Personal Data described in the Service Agreement, carried out for the Customer by Fincredit, and to all Personal Data held by Fincredit in relation to all such processing whether such Personal Data is held at the date of the Service Agreement or received afterwards. 2.2. The provisions of the Data Processing Terms supersede any other arrangement, understanding, or agreement made between the Parties at any time relating to the Personal Data. 2.3. The Data Processing Terms shall continue in full force and effect for so long as Fincredit is processing Personal Data on behalf of the Customer, and thereafter as provided in Clause 9.   3. PROVISION OF THE SERVICE AND PROCESSING PERSONAL DATA   Fincredit is only to carry out the Service, and only to process the Personal Data received from the Customer:   3.1. for the purposes of the Service and not for any other purpose; 3.2. to the extent and in such a manner as is necessary for those purposes; and 3.3. strictly in accordance with the express written authorisation and instructions of the Customer (which may be specific instructions or instructions of a general nature or as otherwise notified by the Customer to Fincredit).   4. DATA PROTECTION COMPLIANCE   4.1. All instructions given by the Customer to Fincredit shall be made in writing and shall at all times be in compliance with the ACT and other applicable laws. Fincredit shall act only on such written instructions from the Customer unless Fincredit is required by law to do otherwise. 4.2. Both Parties shall comply at all times with the ACT and other applicable laws and shall not perform their obligations under the Data Processing Terms or any other agreement or arrangement between themselves in such way as to cause either Party to breach any of its applicable obligations under the ACT. 4.3. The Customer hereby warrants, represents, and undertakes that the Personal Data shall comply with the ACT in all respects including, but not limited to, its collection, holding, and processing. 4.4. Fincredit shall ensure that its obligations under the Data Processing Terms are satisfactorily performed in accordance with any and all applicable legislation from time to time in force in under the ACT and any best practice guidance issued by the ODPC. 4.5. Fincredit shall provide all reasonable assistance (at the Customer’s cost) to the Customer in complying with its obligations under the ACT with respect to the security of processing, the notification of personal data breaches, the conduct of data protection impact assessments, and in dealings with the ODPC. 4.6. When processing the Personal Data on behalf of the Customer, Fincredit shall: 4.6.1. only transfer the Personal Data to and/or process the Personal Data in a country outside Kenya where the said country complies with the obligations for Data Processors under the provisions applicable to transfers of Personal Data to third countries set out in Chapter 5 of the ACT by providing an adequate level of protection to any Personal Data that is transferred; 4.6.2. only transfer the Personal Data to any third party strictly subject to the terms of a suitable agreement, as set out in the ACT; 4.6.3. process the Personal Data only to the extent, and in such manner, as is necessary in order to comply with its obligations to the Customer or as may be required by law (in which case, Fincredit shall inform the Customer of the legal requirement in question before processing the Personal Data for that purpose unless prohibited from doing so by law); 4.6.4. implement appropriate technical and organisational measures, and take all steps necessary to protect the Personal Data against unauthorised or unlawful processing, accidental loss, destruction, damage, alteration, or disclosure; 4.6.5. if so requested by the Customer (and within the reasonable timescales required by the Customer) supply further details of the technical and organisational systems in place to safeguard the security of the Personal Data held and to prevent unauthorised access; 4.6.6. keep records of all processing activities carried out on the Personal Data in accordance with the requirements of the ACT; 4.6.7. make available to the Customer any and all such information as is reasonably required and necessary to demonstrate Fincredit’s compliance with the ACT; 4.6.8. on reasonable notice provide the Customer with any information reasonably required in order to assess and verify compliance with the provisions of the Data Processing Terms and both Parties’ compliance with the requirements of the ACT; and 4.6.9. inform the Customer immediately if it is asked to do anything that infringes the ACT or any other applicable data protection legislation.   5. DATA SUBJECT ACCESS, COMPLAINTS, AND BREACHES   5.1. Fincredit shall, at the Customer’s cost, assist the Customer in complying with its obligations under the ACT. In particular, the following shall apply to data subject access requests, complaints, and data breaches. 5.2. Fincredit shall notify the Customer without undue delay if it receives: 5.2.1. a subject access request from a data subject; or 5.2.2. any other complaint or request relating to the processing of the Personal Data. 5.3. Fincredit shall, at the Customer’s cost, cooperate fully with the Customer and assist as required in relation to any subject access request, complaint, or other request, including by: 5.3.1. providing the Customer with full details of the complaint or request; 5.3.2. providing the necessary information and assistance in order to comply with a subject access request; 5.3.3. providing the Customer with any Personal Data it holds in relation to a data subject (within thebtimescales required by the Customer); and 5.3.4. providing the Customer with any other information requested by the Customer. 5.4. Fincredit shall notify the Customer immediately if it becomes aware of any form of Personal Data breach, including any unauthorised or unlawful processing, loss of, damage to, or destruction of any of the Personal Data.   6. LIABILITY AND INDEMNITY   6.1. The Customer shall be liable for, and shall indemnify (and keep indemnified) Fincredit in respect of any and all action, proceeding, liability, cost, claim, loss, expense (including reasonable legal fees and payments on a solicitor and client basis), or demand suffered or incurred by, awarded against, or agreed to be paid by, Fincredit and any Sub-Processor arising directly or in connection with: 6.1.1. any non-compliance by the Customer with the ACT or other applicable legislation; 6.1.2. any Personal Data processing carried out by Fincredit or Sub-Processor in accordance with instructions given by the Customer that infringe the ACT or other applicable legislation; or 6.1.3. any breach by the Customer of its obligations under the Data Processing Terms, except to the extent that Fincredit or Sub-Processor is liable under sub-Clause 6.2. 6.2. Subject to the T&C’s Fincredit shall be liable for any and all action, proceeding, liability, cost, claim, loss, expense (including reasonable legal fees and payments on a solicitor and client basis), or demand suffered or incurred by, awarded against the Customer arising directly or in connection with Fincredit’s Personal Data processing activities that are subject to the Data Processing Terms: 6.2.1. only to the extent that the same results from Fincredit’s breach of the Data Processing Terms; and 6.2.2. not to the extent that the same is or are contributed to by any breach of the Data Processing Terms by the Customer. 6.3. The Customer shall not be entitled to claim back from Fincredit or Sub-Processor any sums paid in compensation by the Customer in respect of any damage to the extent that the Customer is liable to indemnify Fincredit or Sub-Processor under sub-Clause 6.1. 6.4. Nothing in the Data Processing Terms (and in particular, this Clause 6) shall relieve either Party of, or otherwise affect, the liability of either Party to any data subject, or for any other breach of that Party’s direct obligations under the ACT.   7. INTELLECTUAL PROPERTY RIGHTS   All copyright, database rights, and other intellectual property rights subsisting in the Personal Data (including but not limited to any updates, amendments, or adaptations to the Personal Data made by either the Customer or Fincredit) shall belong to the Customer or to any other applicable third party from whom the Customer has obtained the Personal Data under licence (including, but not limited to, data subjects, where applicable). Fincredit is licensed to use such Personal Data under such rights only for the term of the Service Agreement, for the purposes of the Service, and in accordance with the Data Processing Terms.   8. CONFIDENTIALITY   8.1. Fincredit shall maintain the Personal Data in confidence, and in particular, unless the Customer has given written consent for Fincredit to do so, Fincredit shall not disclose any Personal Data supplied to Fincredit by, for, or on behalf of, the Customer to any third party. Fincredit shall not process or make any use of any Personal Data supplied to it by the Customer otherwise than in connection with the provision of the Service to the Customer. 8.2. Fincredit shall ensure that all personnel who are to access and/or process any of the Personal Data are contractually obliged to keep the Personal Data confidential. 8.3. The obligations set out in in this Clause 8 shall continue for a period of five (5) years after the cessation of the provision of Service by Fincredit to the Customer. 8.4. Nothing in the Data Processing Terms shall prevent either Party from complying with any requirement to disclose Personal Data where such disclosure is required by law. In such cases, the Party required to disclose shall notify the other Party of the disclosure requirements prior to disclosure, unless such notification is prohibited by law.   9. APPOINTMENT OF SUB-PROCESSORS   9.1. Fincredit shall have the right to sub-contract any of its obligations or rights under the Data Processing Terms without the prior written consent of the Customer. 9.2. In the event that Fincredit appoints a Sub-Processor, Fincredit shall: 9.2.1. enter into a Sub-Processing Agreement with the Sub-Processor which shall impose upon the Sub- Processor the same obligations as are imposed upon Fincredit by the Data Processing Terms and which shall permit both Fincredit and the Customer to enforce those obligations; and 9.2.2. ensure that the Sub-Processor complies fully with its obligations under the Sub-Processing Agreement and the ACT. 9.3. In the event that a Sub-Processor fails to meet its obligations under any Sub-Processing Agreement, Fincredit shall remain fully liable to the Customer for failing to meet its obligations under the Data Processing Terms.   10. DELETION AND/OR DISPOSAL OF PERSONAL DATA   10.1. Fincredit shall, at the written request of the Customer, delete (or otherwise dispose of) the Personal Data or return it to the Customer in the format(s) reasonably requested by the Customer within a reasonable time after the earlier of the following: 10.1.1. the end of the provision of the Service under the Service Agreement; or 10.1.2. the processing of that Personal Data by Fincredit is no longer required for the performance of Fincredit’s obligations under the Service Agreement. 10.2. Following the deletion, disposal, or return of the Personal Data under sub-Clause 11.1, Fincredit shall delete (or otherwise dispose of) all further copies of the Personal Data that it holds, unless retention of such copies is required by law, in which case Fincredit shall inform the Customer of such requirement(s) in writing.   11. CONSIDERATION   Fincredit accepts the obligations in the Data Processing Terms in consideration of the payment of the Fees from the Customer under the Service Agreement.   12. LAW AND JURISDICTION   12.1. The Data Processing Terms (including any non-contractual matters and obligations arising therefrom or associated therewith) shall be governed by, and construed in accordance with, the laws of Kenya. 12.2. Any dispute, controversy, proceedings or claim between the Parties relating to the Data Processing Terms (including any non-contractual matters and obligations arising therefrom or associated therewith) shall fall within the Dispute Resolution procedure pursuant to the General Terms and Conditions of Service forming part of the Service Agreement. #### Denis Githuka ProfileDenis GithukaHe is the Risk and Systems Manager. Box 101267-00101 Nairobi Kenya, for the Just Cash® Mobile Loans USSD Service (*424#), and the associated Services (defined below. This Agreement (together with our Data Processing Terms and Conditions) sets out the complete terms and conditions (the “Terms and Conditions”) which shall be applicable to the Account (as hereinafter defined) opened by you with Fincredit. These Terms and Conditions and any amendments or variations thereto take effect on their date of publication. You have the right to seek independent legal counsel in order to fully understand the implications and potential consequences of agreeing to these Terms and Conditions prior to using any of the Services or confirming the intended use of the Services.   1. DEFINITIONS   In this Agreement   1.1. “Account” means your Loan account with the Lender; 1.2. “Administration Fee” is the fee charged on loan disbursal and is a fixed percentage of the Loan Amount; 1.3. “Credentials” means your personal credentials used to access the Just Cash® System, initiate requests and access the Services; 1.4. “Credit Life Insurance” means such personal insurance cover as the Lender may place with an Insurer selected by the Lender in respect of such risks affecting the Customer resulting in permanent and total disability or death to the Customer, as the Lender shall determine. 1.5. “Credit Limit” means the maximum pre-approved amount that a Customer can borrow on the Just Cash® System; 1.6. “Credit Reference Bureau” means a credit reference bureau duly licensed and registered under the Credit Reference Bureau Regulations 2013 to inter alia, collect and facilitate the sharing of customer credit information; 1.7. “Customer” means a person whose name is registered in the Lenders Just Cash® Loan System with valid identification details and a registered mobile phone number; 1.8. “Facility” means the Loan which the Customer requests from the Lender through their registered and recognised Mobile Phone Number; 1.9. “Loan” means a loan disbursed electronically by the Lender to a Customer M-PESA account, electronic wallet account (“E-Wallet”) or to any other available payment option selected by the Customer upon a Customer’s request. 1.10. “Just Cash® System” means the Lenders electronic lending and communication software enabling the Customer to communicate with the Lender for the purpose of accessing the Facility and Services; 1.11. “Late Repayment Charge” means a penalty charged at the rate of ten percent (10%) on any outstanding amounts which have become due but remain unpaid on the Repayment Date; 1.12. “P/A Insurance” means such personal accident insurance cover as the Lender may place with an Insurer selected by the Lender in respect of such accidental risks affecting the Customer, as the Lender shall determine. 1.13. “Repayment Date” means the day that the Loan instalment shall be due for repayment being thirty (30) calendar days from the date of disbursement of the Loan; 1.14. “Request” means a request or instruction received by the Lender from you or purportedly from you through the Safaricom Network and the Just Cash® System and upon which the Lender is authorized to act; 1.15. “Service” means and shall include any form of Loan, payment solution, transfer service, or Request that the Lender may offer you pursuant to this Agreement as you may from time to time subscribe to, and “Services” shall be construed accordingly; 1.16. “Mobile Money” means the money transfer and payments service operated by the Mobile Money Providers in Kenya; 1.17. “Mobile Money Account” means your mobile money store of value, being the record maintained by Mobile Money Providers in Kenya of the amount of E-Money from time to time held by you in the Mobile Money Provider’s System; 1.18. “Mobile Network Operator” means a mobile network operator in Kenya registered with the Communications Authority of Kenya; 1.19. “Mobile Money Provider” means a Mobile Network Operator that has been duly authorized by the Central Bank of Kenya under applicable law to offer Mobile Money Services in Kenya; 1.20. “Equipment” means and shall include your mobile phone handset, SIM Card and/or other equipment which when used together enables you to access the Just Cash System and use the products and services availed to you by the Mobile Network Operators subject to such term and conditions agreed between you and the Mobile Network Operators; 1.21. “You” or “your” means the Customer and includes the personal representatives, assigns and heirs of the Customer; 1.22. The word “Customer” shall include the masculine and the feminine gender as well as juristic persons; 1.23. “writing”, and any cognate expression, includes a reference to any communication effected by electronic or facsimile transmission or similar means; 1.24. Words importing the singular meaning where the context so admits include the plural meaning and vice versa.   2. ACCEPTANCE OF THE TERMS AND CONDITIONS:   2.1. Before applying for the Service you should carefully read and understand these Terms and Conditions which will govern the provision, use, operation and management of the Service. 2.2. If you do not agree with these Terms and Conditions, please cancel the Registration by failing to confirm your National Identification number, Mobile Phone Number and Personal Details. 2.3. You will be deemed to have read, understood and accepted these Terms and Conditions: 2.3.1. upon confirming National Identification number, Mobile Phone Number and Personal Details either through the USSD Service or mobile Phone Application 2.3.2. acknowledging the receipt of the Registration text message and successfully accessing the Service on first use; 2.3.3. by using or continuing to use and operate the Service 2.4. By applying to access the Service with the Lender you agree to comply with and be bound by these Terms and Conditions for the time being and from time to time in force governing the operation of the Service and you affirm that these Terms and Conditions herein are without prejudice to any right that the Lender may have with respect to the Service in law or otherwise. 2.5. You acknowledge and accept that the Lender offers the Service only by electronic means via the Just Cash® System. 2.6. By using the Just Cash® System or any of the Services, you consent to us collecting and using technical information about the Equipment and related software, hardware and peripherals for Services that are internet-based or wireless to improve our products and to provide any Services to you. If you use these Services, you consent to us and our affiliates’ and licensees’ transmission, collection, retention, maintenance, processing and use of your data to improve our Services and/or your experience while using the Just Cash® System. 2.7. You hereby agree and authorize the Lender to obtain, procure, get, verify, and or validate your Personal Information contained in the IPRS from the Government of Kenya and you further agree and consent to the disclosure and provision of such Personal Information by the Government of Kenya to the Lender. 2.8. You hereby agree and authorize the Lender to obtain, procure, get, verify and or validate your Mobile Number related information held by any Mobile Network operator licenced to operator within the Republic of Kenya and further agree and consent to the disclosure and provision of such Mobile Number related information by the Mobile Network Operator to the Lender. 2.9. The Lender reserves the right to vary these Terms and Conditions from time to time upon seeking and obtaining approval to vary such terms from the relevant authority regulating the Lender, where applicable, and upon issuing a notice to You by way of Short Messaging Service (SMS) or such other means as contained in these Term and Conditions.   3. PERSONAL INFORMATION   3.1. You hereby agree and authorise the Lender to verify information provided by you to the Lender against the information held by the Mobile Money Providers in relation to your Mobile Money Account pursuant to the agreement between you and the relevant Mobile Money Provider for the provision of its products and services and the Mobile Money Service. 3.2. The information that the Lender may verify against the information held by the Mobile Money Providers includes (without limitation): your phone number, name, date of birth, Identification Number (“ID”) or Passport Number and any other such other information that will enable the Lender to identify you and comply with the regulatory “Know Your Customer” requirements (together the “Personal Information”). 3.3. You hereby agree and authorise the Lender to verify information including, but not limited to, data relating to your phone (including, without limitation, your phone’s history) from your Equipment, from any SMS sent to you by the Mobile Money Providers and any financial services providers relating to your use of the Mobile Money Service and such other information as the Lender shall require for purposes of providing you the Services (the “Relevant Information”). 3.4. You hereby consent to the Lender verifying the Personal Information and the Relevant Information with the Mobile Money Providers and using of the Personal Information and the Relevant Information to the extent necessary in the opinion of the Lender to provide you with the Services. 3.5. You hereby agree and authorise the Lender to obtain and procure your Personal Information and Relevant Information from your respective Mobile Money Provider and you further agree and consent to the disclosure and provision of such Personal Information by the Mobile Money Provider and further to indemnify and hold the Lender and the Mobile Money Provider harmless with respect to any claims, losses, liabilities and expenses (including legalfees and expenses) that may arise as a result of the disclosure and reliance on such Personal Information and/or Relevant Information. 3.6. The Lender reserves the right to request for further information from you pertaining to your request for a Loan, Service or to access the Just Cash® System at any time. Failure to provide such information within the time required by the Lender may result in the Lender declining to accept your request.   4. CUSTOMER’S RESPONSIBILITIES   4.1. You shall at your own expense provide and maintain in safe and efficient operating order your Equipment necessary for the purpose of accessing the Just Cash® System and the Services. 4.2. You shall be responsible for ensuring the proper performance of your Equipment. The Lender shall neither be responsible for any errors or failures caused by any malfunction of your Equipment, and nor shall the Lender be responsible for any computer virus or related problems that may be associated with the use of the Just Cash® System, the Services and the Equipment. You shall be responsible for charges due to any service provider providing you with connection to the Just Cash® System and the Lender shall not be responsible for losses or delays caused by any such service provider. 4.3. You shall follow all instructions, procedures and terms contained in this Agreement and any document provided by the Lender concerning the use of the System and the Services. 4.4. You hereby agree and acknowledge that you shall be solely responsible for the safekeeping and proper use of your Equipment and for keeping your Credentials secret and secure. You shall ensure that your Credentials do not become known or come into possession of any unauthorised person. The Lender shall not be liable for any disclosure of your Credentials to any third party and you hereby agree to indemnify and hold the Lender harmless from any losses resulting from any disclosure of your Credentials. 4.5. You shall take all reasonable precautions to detect any unauthorised use and access of the System and the Services undertaken using your Equipment. To that end, you shall ensure that all communications from the Lender are examined and checked by you or on your behalf as soon as practicable after receipt by you in such a way that any unauthorised use of and access to the Just Cash® System will be detected. You shall immediately inform the Lender in the event that: 4.5.1. You have reason to believe that your Credentials are or may be known to any person not authorised to know the same and/or have been compromised; and/or 4.5.2. You have reason to believe that unauthorised access and use of the Just Cash® System and the Services has or may have occurred or could occur and a transaction may have been fraudulently input or compromised. 4.6. You shall at all times follow the security procedures notified to you by the Lender from time to time or such other procedures as may be applicable to the Services from time to time. You acknowledge that any failure on your part to follow the recommended security procedures may result in a breach of your Personal Information, Relevant Information and such other information held by the Lender in connection to the Services and Requests made by you to the Lender in confidentiality. In particular, you shall ensure that the Services are not used or Requests are not issued or the relevant functions are not performed by anyone other you or a person authorised by you to do so. 4.7. You shall not at any time operate or use the Services in any manner that may be prejudicial to the Lender.   5. FACILITY AND ADVANCES   5.1. The Customer acknowledges that the Lender shall appraise his or her Mobile Loan according to the Lender’s loan appraisal and vetting processes and that the Lender reserves the right, at its sole discretion, and without assigning any reason to approve or decline your application for a Mobile Loan. 5.2. Subject to approval of the Mobile Loan requested or sought by you, the Lender shall lend and disburse to you an amount to be determined by the Lender in its sole discretion subject to a minimum amount of Kenya Shillings Five Hundred only (KShs 500.00/=) and a maximum amount Kenya Shillings One Hundred Thousand only (KShs 100,000.00/=) or the Credit Limit. 5.3. The Customer acknowledges, consents and authorises the Lender to utilise the proceeds of the Mobile Loan to pay and settle any amounts, advances, loans and Mobile Loans due and outstanding from the Customer. 5.4. The proceeds of the Loan shall be credited into either your M-PESA Account, E-Wallet or any other option availed by the Lender which you select, subject to any deductions on account of applicable Credit Charge, fees, expenses, taxes and or duties. 5.5. In consideration of the Lender granting you the Mobile Loan, you shall pay a Credit Charge as may be determined by the Lender which shall be paid together with the Mobile Loan on the Repayment Date. 5.6. You shall pay to the Lender any charges, fees, expenses, taxes, duties, impositions and expenses incurred by the Lender in complying with your Mobile Loan request. 5.7. The Lender reserves the right to vary the terms of the Mobile Loan including the credit charge and or fees payable thereon from time to time upon notice to you in writing. 5.8. The Customer agrees that the Lender shall provide various Services defined in Schedule A of these Terms and Conditions with varying fees, charges, expenses and amounts which the Lender shall provide, avail and grant access to you at its sole discretion. 5.9. The Lender grants the Mobile Loan or part thereof to the Customer subject to: 5.9.1. the availability of funds; 5.9.2. there being no change in applicable law or regulation or existing requirements of, or new requirements being imposed by any governmental, fiscal, monetary, regulatory or other authority the result of which in the sole opinion of the Lender is to increase the cost to the Lender of funding, maintaining or making available the Service (or any undrawn amount thereof); 5.9.3. no Event of Default having occurred and no event having occurred which, with the giving of notice and/or lapse of time and/or upon the Lender making the relevant determination, would constitute an Event of Default; and 5.9.4. The Customer’s compliance with these Terms and Conditions. 5.10. You hereby expressly give consent to the Lender to recover all monies due that you will not have settled on the Repayment Date through your employer from your payroll in the first instance or from any other source of your income or assets. 5.11. Any addition, alteration, modification or deletion to these Terms and Conditions which may be made from time to time by the Lender and of which notice may be given to in writing or such other method that the Lender shall adopt and use to communicate with you shall be binding upon you as fully as if the same were contained in these Terms and conditions. 5.12. You hereby undertake to notify the Lender immediately of any situation circumstance or event, which materially changes the provision, use, operation and management of the Loan, Services or your access to the Just Cash® System.   6. REPAYMENTS   6.1. The Customer shall pay the Mobile Loan together with the Credit Charge to the Lender with equated monthly repayments or instalments by way of cleared funds on each Repayment Date. 6.2. All payments made by the Customer and received by the Lender in respect of the Mobile Loan shall be credited and receipted towards payment of the Mobile Loan only when such payments shall be received in cleared funds. 6.3. If the Lender holds any money or you have a credit balance with the Lender at any time as a result of overpayment of your Loan, you may issue a Request to the Lender for payment of such credit balance and the Lender will return any such balance to you, less any applicable fees, provided that such amount falls above the minimum transfer amounts specified by the relevant Mobile Money Provider. 6.4. You shall make payments due from you to the Lender in respect of the Loan on the Repayment Date using ‘Lipa Na MPESA’ service ONLY to the Lipa Na MPESA PayBill Number 101400 unless otherwise agreed and advised by the Lender in its discretion. 6.5. If you do not pay the Loan on the Repayment Date the Lender shall automatically charge a Late Repayment Charge.   7. FEES, COMMISSIONS, CHARGES, COSTS, EXPENSES AND INSURANCE   7.1. The Customer shall indemnify the Lender forthwith upon demand for any costs, expenses, charges and or fees incurred by the Lender in taking any steps to obtain payment of monies due and owing to the Lender under this Agreement including costs of an advocate, auctioneer, court process server or any other agent appointed by the Lender to collect such monies that are due and owing from the Customer; 7.2. The Customer shall indemnify the Lender upon demand for any expenses, costs, fees and or charges that the Lender shall incur for the establishment of any Security that the Lender shall require for the Mobile Loan; 7.3. The Lender shall at its sole discretion procure, get and obtain Credit Life Insurance and P/A Insurance for the Customer for sums and monies lent and advanced to the Customer which the Customer shall repay over periods exceeding one month; 7.4. The Customer expressly consents and gives the Lender the authority to provide their personal information and data to the Insurer for the purposes of procuring and obtaining the Credit Life Insurance and Personal Accident Insurance; 7.5. The Lender shall apply and utilise any funds or remittances received with respect to the Credit Life Insurance towards the full settlement of the Customer’s Mobile Loans; 7.6. The Customer shall forthwith notify the Lender of any circumstance or event that may or shall give rise to claims under the Personal Accident Insurance and Credit Life Insurance; 7.7. The Lender shall pay and release any funds or remittances received with respect to the Personal Accident Insurance to the Customer upon receipt of such funds or remittances from the Insurer and provision of all the documents and information required from the Customer; 7.8. The Lender may effect payment of all fees, expenses and other sums due and payable by the Customer under the above clauses out of, and by deduction from, the Mobile Loan.   8. CREDIT REFERENCE BUREAUS   8.1. You hereby expressly authorise the Lender to solicit, query, search, conduct, carry out and perform credit checks with, and/or obtain the Customer’s credit information, or such other information, from any or all licensed Credit Reference Bureaus, with respect to this Agreement, and/or the Lender maintaining a Loan for you. 8.2. You hereby expressly consent, allow and authorise the Lender to disclose, advise, exchange and communicate the details pertaining to your Loan to Credit Reference Bureaus (CRBs) and other Credit Providers. 8.3. You authorise the Lender to obtain any information that it may require relating to the Loan from credit providers, and from any other source to which the Lender may apply, each source being hereby authorised by you to provide the Lender with such information.   9. EXCLUSION OF LIABILITY   9.1. The Lender will endeavour to do its utmost to ensure that there are no delays or failures in offering the Loan. However, the Lender shall not be liable for any loss suffered by you due to, as a result of, or in connection with failures that may arise as a result of inefficiencies caused by the Mobile Network Operators or which are occasioned by strikes, riots or civil unrest, breakages, fire, unforeseen commercial delays, acts of God or permission requirements or licences that are required from Mobile Network Operators.   10. TERMINATION   10.1. The Lender shall not be obliged to advance the Loan or, where the Loan has been advanced, may demand immediate payment of all amounts owed under this Agreement in the event that: 10.1.1. You fail to pay any sum payable hereunder on the Repayment Date. 10.1.2. You fail to perform and/or observe any of your obligations under the Agreement. 10.1.3. The Lender has reason to believe that you are likely to become insolvent or have committed an act of bankruptcy. 10.2. The Lender shall at any time, upon notice to you, terminate or vary its business relationship with you and cease to offer you the Services and in particular but without prejudice to the generality of the foregoing the Lender may cancel the Credit Limit which it has granted and require the repayment of outstanding debts resulting from such credits within such time as the Lender may determine. 10.3. Without prejudice to the Lender’s rights under clause 10.1, the Lender may at its sole discretion suspend or close your access to the Services and the Just Cash® System where: 10.3.1. if you use the Just Cash® System for unauthorised purposes or where the Lender detects any abuse/misuse, breach of content, fraud or attempted fraud relating to your use of the Services; 10.3.2. if your Mobile Money Account or agreement with a Mobile Network Operator is terminated for whatever reason; 10.3.3. the Lender is required or requested to comply with an order or instruction of or a recommendation from the government, court, regulator or other competent authority; 10.3.4. the Lender reasonably suspects or believes that you are in breach of these Terms and Conditions (including non-payment of any Loan amount due from you where applicable) which you fail to remedy (if remediable) within 14 days after the service of notice by email, SMS or other electronic means requiring you to do so; 10.3.5. such a suspension, closure or termination is necessary as a consequence of technical problems or for reasons of safety; to facilitate update or upgrade the contents or functionality of the Services from time to time; 10.3.6. you have in the opinion of the Lender become inactive or dormant in the use of the Just Cash® System or the Services; 10.3.7. the Lender decides to suspend or cease the provision of the Services for commercial reasons or for any other reason as it may determine in its absolute discretion; or 10.4. Termination shall however not affect any accrued rights and liabilities of either party. 10.5. If the Lender receives notice of your demise, the Lender will not be obliged to allow any operation or access to the Services or accept Requests by any person except upon production of administration letters from a competent authority or confirmed grant of letters of administration or confirmed grant of probate by your legal representatives duly appointed by a court of competent jurisdiction.   11. INDEMNITY   11.1. In consideration of the Lender complying with your instructions or Requests in relation to providing the Services, you undertake to indemnify the Lender and hold it harmless against any loss, charge, damage, expense, fee or claim which the Lender suffers or incurs or sustains thereby and you absolve the Lender from all liability for loss or damage which you may sustain from the Lender acting on your instructions or requests or in accordance with these Terms and Conditions. 11.2. The indemnity in clause 9.1 shall also cover the following: 11.2.1. All demands, claims, actions, losses and damages of whatever nature which may be brought against the Lender or which it may suffer or incur arising from its acting or not acting on any Request or arising from the malfunction or failure or unavailability of any hardware, software, or equipment, the loss or destruction of any data, power failures, corruption of storage media, natural phenomena, riots, acts of vandalism, sabotage, terrorism, any other event beyond the Lender’s control, interruption or distortion of communication links or arising from reliance on any person or any incorrect, illegible, incomplete or inaccurate information or data contained in any Request received by the Lender. 11.2.2. Any loss or damage that may arise from your use, misuse, abuse or possession of any third party software, including without limitation, any operating system, browser software or any other software packages or programs. 11.2.3. Any unauthorised access to your Account or any breach of security or any destruction or accessing of your data or any destruction or theft of or damage to any of your Equipment. 11.2.4. Any loss or damage occasioned by the failure by you to adhere to these Terms and Conditions and/or by supplying of incorrect information or loss or damage occasioned by the failure or unavailability of third party facilities or systems or the inability of a third party to process a transaction or any loss which may be incurred by the Lender as a consequence of any breach by these Terms and Conditions. 11.2.5. Any damages and costs payable to the Lender in respect of any claims against the Lender for recompense for loss where the particular circumstance is within your control.   12. NOTICES AND COMMUNICATION   12.1. The Lender shall send information and communication concerning the use and/or access of the Service via Short Messaging Service (SMS) or writing to you through your mobile phone registered on the System. 12.2. You acknowledge, accept and confirm that you have no claim against the Lender for damages resulting from losses, delays, misunderstandings, mutilations, duplications or any other irregularities due to transmission of any communication information pertaining to use of the Service. 12.3. All notices made by the Customer to the Lender shall be in writing.   13. GOVERNING LAW   13.1. This Agreement shall be governed by the laws of Kenya.   14. COMMUNICATION   14.1. This Agreement constitutes the entire understanding between the Parties relating to the subject matter herein unless any representation or warranty made about this Agreement was made fraudulently and, save as may be expressly referred to or referenced herein, supersedes all prior representations, writings, promises, arrangement, correspondence negotiations or understandings whether oral or written, of any Party to this Agreement.   16. GENERAL   16.1. No indulgence by the Lender in respect of any of its rights hereunder will operate as a waiver of its said rights nor will it constitute a novation thereof. 16.2. The Customer acknowledges that no representations or inducements to enter this Agreement have been made whether orally or otherwise other than those specifically referred to herein. 16.3. No failure on the part of any party to exercise, or delay on its part in exercising, any right, power or remedy provided by this Agreement or by law shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power or remedy preclude any further or other exercise of that, or any other, right, power or remedy. 16.4. Box 101267-00101 Nairobi Kenya, for the Just Cash® Mobile Loans USSD Service (*424#), and the associated Services (defined below). This Agreement (together with our Data Processing Terms and Conditions) sets out the complete terms and conditions (the “Terms and Conditions”) which shall be applicable to the Account (as hereinafter defined) opened by you with Fincredit. These Terms and Conditions and any amendments or variations thereto take effect on their date of publication. You have the right to seek independent legal counsel in order to fully understand the implications and potential consequences of agreeing to these Terms and Conditions prior to using any of the Services or confirming the intended use of the Services.   1. DEFINITIONS   In this Agreement   1.1. “Account” means a Bank account held and operated by the Customer with PostBank and the Customer has sole access 1.2. “Credit Charge” means a monthly fixed rate on the Mobile Loan determined by the Lender and charged on the Mobile Loan payable by the Customer to the Lender together with the Mobile Loan; 1.3. “Credit Life Insurance” means an insurance cover the Lender shall place with an Insurer for the Borrower with respect to and cover suck risks as death and permanent or total disability that may affect the Borrower during the tenure of the Loan; 1.4. “Credit Limit” means the maximum approved amount that a Customer can borrow through and on the Just Cash® Mobile Loans System; 1.5. “Credit Reference Bureau” means a credit reference bureau duly licensed and registered under the Credit Reference Bureau Regulations 2020 to inter alia, collect and facilitate the sharing of Customer credit information; 1.6. “Customer” means a person who is registered in the Lender’s System with valid identification details and a registered mobile phone number and has duly accepted without exclusion to these Terms and Conditions and shall include their personal representatives, heirs, assignees or successors in Title; 1.7. “IPRS” means the Integrated Population Registration System, a service provided electronically by the Government of Kenya to enable organisations or institutions to validate and perform Know Your Customer through the Customers national identity card number provided during registration; 1.8. “Mobile Loan” or “Facility” means a Loan which the Customer requests from the Lender through their registered and recognised Mobile Phone Number on the System and disbursed electronically by the Lender to the Customer to an Account held and operated with the PostBank upon a Customer’s request. 1.9. “PIN” means the personal identification number (PIN) or password comprising of 4 numerical digits provided and communicated to the Customer by way of Short Messaging Service (SMS) granting the Customer access to and use of the Service; 1.10. “Personal Accident Insurance” means and refers to a Personal Accident and Funeral Cover insurance that the Lender shall place with an Insurer with respect to and cover such accidental risks agreed between the Lender and the Insurer that may or shall affect the Customer during the tenure of the Mobile Loan; 1.11. “PostBank” means Kenya Post Office Savings Bank incorporated in Kenya under the Kenya Post Office Savings Bank Act (Chapter 493B of the Laws of Kenya) and having its principal place of business at Postbank House, 16th Banda Street, and of P.O. Box 30311-00100 Nairobi Kenya; 1.12. “Repayment Date” means the day or days that the Mobile Loan shall be due for repayment not exceeding thirty (30) calendar days from the date of drawdown of the Mobile Loan; 1.13. “Request” means a request or instruction received by the Lender from you or purportedly from you through a Mobile Operator Network and the System and upon which the Lender is authorized to act; 1.14. “Service” means and shall include any form of advance, charge, fee, loan, action, information, communication, and or data that the Lender may offer, charge, lend, advance, grant, and or allow to the 1.15. Customer pursuant to this Agreement as shall be subscribed, requested, sought, and or asked by the Customer from time to time and “Services” shall be construed accordingly; 1.16. “Just Cash® System” or “System” means the Lenders electronic lending and communication software enabling the Customer to communicate with the Lender for the purpose of accessing the Facility and Services; 1.17. The word “Customer” shall include the masculine and the feminine gender as well as juristic persons; 1.18. The word “party” or “parties” shall mean the Borrower or the Lender or Both; 1.19. Words importing the singular meaning where the context so admits include the plural meaning and vice versa. 1.20. “You” or “your” means the Customer and includes your personal representatives’, assignees successors or heirs in Title; 1.21. Reference to the masculine gender shall include reference to the female gender and vice versa; 1.22. “writing”, and any cognate expression, includes a reference to any communication effected by electronic or facsimile transmission or similar means; 1.23. Headings in these Terms and Conditions are for convenience purposes only and they do not affect the interpretation of this Agreement.   2. ACCEPTANCE OF THE TERMS AND CONDITIONS:   2.1. By using and applying to access the Service with the Lender you agree to comply with and be bound by these Terms and Conditions for the time being and from time to time in force governing the operation, use and access of the Service and you affirm that these Terms and Conditions herein are without prejudice to any right that the Lender may have with respect to the Service in law or otherwise. 2.5. You acknowledge and accept that the Lender shall avail and offer the Service only by electronic means via the System. 2.6. You hereby agree and authorize the Lender to obtain, procure, get, verify, and or validate your Personal Information contained in the IPRS from the Government of Kenya and you further agree and consent to the disclosure and provision of such Personal Information by the Government of Kenya to the Lender. 2.7. You hereby agree and authorize the Lender to obtain, procure, get, verify and or validate your Mobile Number related information held by any Mobile Network operator licenced to operator within the Republic of Kenya and further agree and consent to the disclosure and provision of such Mobile Number related information by the Mobile Network Operator to the Lender. 2.8. The Lender reserves the right to vary these Terms and Conditions from time to time upon seeking and obtaining approval to vary such terms from the relevant authority regulating the Lender, where applicable, and upon issuing a notice to You by way of Short Messaging Service (SMS) or such other means as contained in these Term and Conditions.   3. PERSONAL INFORMATION   3.1. You hereby agree and authorise the Lender to collect, store and verify information provided by You to the Lender in relation to your Loan and pursuant to the agreement between you and the Lender for the provision of its products and services. 3.2. The information that the Lender may collect, store and verify includes (without limitation): your phone number, name, date of birth, Identification Number (“ID”) or Passport Number, financial information, postal address and any other such other information that will enable the Lender to identify you and comply with the regulatory “Know Your Customer” requirements (together the “Personal Information”). 3.3. By accepting these terms and conditions you hereby provide express and informed consent to the Lender to collect, store, process, and disclose your personal information for the specified, explicit, and legitimate purposes necessary for: 3.3.1. Opening, managing, and servicing a loan account and the provision of the premium financing and such other services requested by You; 3.3.2. Verifying your identity and conducting Know-Your-Customer (KYC) and due diligence checks as required by law. 3.3.3. Processing transactions and communicating with me/us regarding the premium financing and such other services requested by You; 3.3.4. Complying with legal and regulatory obligations, including reporting to the Office of the Data Protection Commissioner, Credit Reference Bureaus and other relevant regulatory bodies. 3.4. You acknowledge that failure to provide this consent will make it impossible for the Lender to establish or continue the provide the Mobile Loan or services to you. 3.5. You have the right to access your information held by the Lender and request for the correction or alteration of such information and can request for the presentation of the data or information in such format that may be available from the Lender. 3.6. The Lender utilises and uses services to store the personal information in Cloud environment and other storage location or places that may be outside Kenya. The lender has put in place measures and controls to ensure that your Personal Information is safe and secure. You hereby consent to the storage of your personal Information in locations identified by the Lender whether within or outside Kenya. 3.7. You hereby acknowledge and confirm that you have been notified by the Lender that you have the right to withdraw your consent at any time for any processing activity based on your consent, provided that this withdrawal will and does not affect the lawfulness of processing carried out before the withdrawal. The withdrawal will be effective thirty (30) days of issuance and receipt of your withdrawal request by the Lender.   4. FACILITY AND ADVANCES   4.1. The Customer acknowledges that the Lender shall appraise his or her Mobile Loan according to the Lender’s loan appraisal and vetting processes and that the Lender reserves the right, at its sole discretion, and without assigning any reason to approve or decline your application for a Mobile Loan. 4.2. Subject to approval of the Mobile Loan requested or sought by you, the Lender shall lend and disburse to you an amount to be determined by the Lender in its sole discretion subject to a minimum amount of Kenya Shillings Five Hundred only (KShs 500.00/=) and a maximum amount Kenya Shillings Five Hundred Thousand only (KShs 500,000.00/=) or the Credit Limit. 4.3. The Customer acknowledges, consents and authorises the Lender to utilise the proceeds of the Mobile Loan to pay and settle any amounts, advances, loans and Mobile Loans due and outstanding from the Customer. 4.4. The proceeds of the Mobile Loan shall be credited into your Account subject to any deductions on account of applicable Credit Charge, fees, expenses, taxes and or duties. 4.5. In consideration of the Lender granting you the Mobile Loan, you shall pay a Credit Charge as may be determined by the Lender which shall be paid together with the Mobile Loan on the Repayment Date. 4.6. You shall pay to the Lender any charges, fees, expenses, taxes, duties, impositions and expenses incurred by the Lender in complying with your Mobile Loan request. 4.7. You hereby expressly give consent to PostBank to recover all monies due from you that you will not have settled on the Repayment Date from your Account in the first instance or from any other source of your income or assets. 4.8. The Lender reserves the right to vary the terms of the Mobile Loan including the credit charge and or fees payable thereon from time to time in accordance with Clause 2.8 and 2.9 of these Terms and Conditions. 4.9. The Customer agrees that the Lender shall provide various Services defined in Schedule A of these Terms and Conditions with varying fees, charges, expenses and amounts which the Lender shall provide, avail and grant access to you at its sole discretion. 4.10. The Lender grants the Mobile Loan or part thereof to the Customer subject to: 4.10.1. the availability of funds; 4.10.2. there being no change in applicable law or regulation or existing requirements of, or new requirements being imposed by any governmental, fiscal, monetary, regulatory or other authority the result of which in the sole opinion of the Lender is to increase the cost to the Lender of funding, maintaining or making available the Service (or any undrawn amount thereof); 4.10.3. no Event of Default having occurred and no event having occurred which, with the giving of notice and/or lapse of time and/or upon the Lender making the relevant determination, would constitute an Event of Default; and 4.10.4. The Customer’s compliance with these Terms and Conditions. 4.10.5. the Conditions Precedent being met/complied with (unless expressly waived by the Lender in writing); 4.10.6. The Borrowers’ express consent to the Lender to collect, receive, store and process the Personal Information of the Borrower;   5. REPAYMENTS   5.1. The Customer shall pay the Mobile Loan together with the Credit Charge to the Lender with equated monthly repayments or instalments by way of cleared funds on each Repayment Date. 5.2. The Customer consents and hereby grants and gives authority to PostBank to deduct any or all sums due and owing to the Lender for the Mobile Loan from his Account unless otherwise agreed and advised by the Lender in its sole discretion. 5.3. All payments made by the Customer and received by the Lender in respect of the Mobile Loan shall be credited and receipted towards payment of the Mobile Loan only when such payments shall be received in cleared funds.   6. FEES, COMMISSIONS, CHARGES, COSTS, EXPENSES AND INSURANCE   6.1. The Customer shall indemnify the Lender forthwith upon demand for any costs, expenses, charges and or fees incurred by the Lender in taking any steps to obtain payment of monies due and owing to the Lender under this Agreement including costs of an advocate, auctioneer, court process server or any other agent appointed by the Lender to collect such monies that are due and owing from the Customer; 6.2. The Customer shall indemnify the Lender upon demand for any expenses, costs, fees and or charges that the Lender shall incur for the establishment of any Security that the Lender shall require for the Mobile Loan; 6.3. The Lender shall at its sole discretion procure, get and obtain Credit Life Insurance and Personal Accident Insurance for the Customer for sums and monies lent and advanced to the Customer which the Customer shall repay over periods exceeding one month; 6.4. The Customer expressly consents and gives the Lender the authority to provide their personal information and data to the Insurer for the purposes of procuring and obtaining the Credit Life Insurance and Personal Accident Insurance; 6.5. The Lender shall apply and utilise any funds or remittances received with respect to the Credit Life Insurance towards the full settlement of the Customer’s Mobile Loans; 6.6. The Customer shall forthwith notify the Lender of any circumstance or event that may or shall give rise to claims under the Personal Accident Insurance and Credit Life Insurance; 6.7. The Lender shall pay and release any funds or remittances received with respect to the Personal Accident Insurance to the Customer upon receipt of such funds or remittances from the Insurer and provision of all the documents and information required from the Customer; 6.8. The Lender may effect payment of all fees, expenses and other sums due and payable by the Customer under the above clauses out of, and by deduction from, the Mobile Loan.   7. CUSTOMER’S RESPONSIBILITIES AND OBLIGATIONS   7.1. The Customer shall: 7.1.1. At his own expense provide and maintain in safe and efficient operating order his mobile phone necessary for the purpose of accessing the System and the Services. 7.1.2. Be responsible for charges due to any service provider providing him with connection required and necessary to access the System and Services and the Lender shall not be responsible for losses or delays caused by any such service provider. 7.1.3. Follow all instructions, procedures and terms contained in these Terms and Conditions and any document provided by the Lender concerning the use of the System and Services. 7.1.4. Be solely responsible for the safekeeping and proper use of his PIN and keeping it secret and secure. The Lender shall not be liable for any disclosure of the PIN to any third party and you hereby agree to indemnify and hold the Lender harmless from any losses resulting from any use or access of the System or Services resulting from such disclosure. 7.2. The Customer shall take all reasonable precautions to detect any unauthorized use of the System and the Services. To that end, the Customer shall ensure that all communications from the Lender are examined and checked by him or on his behalf as soon as practicable after receipt by him in such a way that any unauthorized use of and access to the System will be detected. 7.3. The Customer shall immediately inform and contact the Lender through its available communication channels in the event that: 7.3.1. He has reason to believe that his PIN is or may be known to any person not authorized to know the same and/or has been compromised; and/or 7.3.2. He has reason to believe that unauthorized use of the Services has or may have occurred or could occur and a transaction may have been fraudulently input or compromised. 7.4. The Customer acknowledges that any failure on his part to follow the recommended security procedures may result in a breach of his confidentiality. In particular, the Customer shall ensure that the Services are not used or Requests are not issued or the relevant functions are not performed by anyone other than a person authorized to do so. 7.5. The Customer warrants and agrees that he shall not at any time operate or use the Services in any manner that may be prejudicial to the Lender.   8. CONTINUING SECURITY   8.1. The Security (if any) held by the Lender in respect of the Customer’s obligations under this Agreement together with any security held by the Lender in respect of the Customer or which may hereafter be held will secure all monies and liabilities which shall from time to time be due and owing or incurred to the Lender by the Customer whether actually or contingently. 8.2. If there is any conflict between these Terms and Conditions and a subsequent Charge or Mortgage or other Security the provisions of that subsequent Security shall prevail.   9. EVENTS OF DEFAULT   9.1. The Lender shall not be obliged to advance the Loan or, where the Loan has been advanced, may by written notice to the Borrower terminate its obligations under this Agreement and or demand immediate payment of all the amounts outstanding due and owed under this Agreement together with accrued interest and all other amounts due and the Borrower will comply with such demand forthwith in the event that: 9.1.1. The Borrower fails to pay any sum payable hereunder on its due date for payment. 9.1.2. The Borrower fails to perform and observe any of its obligations under the Agreement. 9.1.3. The Lender has reason to believe that the Borrower or any of them is, or are likely to become insolvent or have committed an act of bankruptcy. 9.1.4. If any circumstances arise which in the opinion of the Lender have or may have a material adverse effect on the Borrower’s ability to perform its obligations under this Agreement. 9.1.5. The Borrower admits in writing its inability to pay or shall become unable to pay its debts generally as they fall due, or become bankrupt or insolvent, or file any petition or action for relief under any bankruptcy, re-organisation or insolvency law. 9.1.6. The Borrower expressly withdraws its consent to the processing of the Personal Information 9.1.7. Any of the Borrower’s indebtedness is not paid on its Repayment date or becomes due prior to its stated maturity or any guarantee given by the Borrower is not honoured when due or called upon.   10. CREDIT REFERENCE BUREAUS   10.1. The Customer hereby expressly authorises the Lender to solicit, query, search, conduct, carry out and perform credit checks with, and/or obtain the Customer’s credit information, or such other information, from any or all licensed Credit Reference Bureaus, with respect to this Agreement, and/or the Lender maintaining a Mobile Loan for the Customer. 10.2. The Customer hereby expressly consents, allows and authorises the Lender to disclose, advise, exchange and communicate the details pertaining to the Customer’s Mobile Loans to Credit Reference Bureaus (CRBs) and other Credit Providers. 10.3. The Customer authorises the Lender to obtain any information that it may require relating to the Mobile Loan from credit providers, and from any other source to which the Lender may apply, each source being hereby authorised by you to provide the Lender with such information. 10.4. The Customer hereby undertakes to notify the Lender immediately of any situation, event, occurrence and/or circumstance, which materially changes the provision, use, operation and management of the Mobile Loan or Service.   11. EXCLUSION OF LIABILITY   11.1. The Lender will endeavour to do its utmost to ensure that there are no delays or failures in offering the Mobile Loan. However, the Lender shall not be liable for any loss suffered by you due to, as a result of, or in connection with failures that may arise as a result of inefficiencies caused by the Mobile Phone Network providers or which are occasioned by strikes, riots or civil unrest, breakages, fire, unforeseen commercial delays, acts of God or permission requirements or licences that are required from Mobile Phone Network Providers. 11.2. You hereby expressly consent to waive any claim against the Lender for delays or failures to offer the Services due to any or all of the causes and events mentioned in 10.1 above.   12. TERMINATION   12.1. The Lender may at any time, upon notice to you, terminate or vary its provision of the Services to you and in particular, but without prejudice to the generality of the foregoing, the Lender may cancel the Credit Limit which it has granted and require the repayment of outstanding Mobile Loans resulting therefrom within such time as the Lender may determine. 12.2. Without prejudice to the Lender’s rights, the Lender may at its sole discretion suspend, decline, refuse or reject your Request or close and suspend your access to the System and Services: 12.2.1. If you use the System or Service for unauthorized purposes or where the Lender detects any abuse/misuse, breach of content, fraud or attempted fraud relating to your use of the Services; 12.2.2. If your Account or agreement with the PostBank is terminated, frozen, cancelled, closed and/or suspended for whatever reason; 12.2.3. If the Lender is required or requested to comply with an order or instruction of, or a recommendation from, the government, court, regulator or other competent authority; 12.2.4. If the Lender reasonably suspects or believes that you are in breach of these Terms and Conditions (including non-payment of any Mobile Loan amount due from you where applicable); 12.2.5. Where such a suspension or variation is necessary as a consequence of technical problems or for reasons of safety; 12.2.6. To facilitate update or upgrade to the contents or functionality of the System or Services from time to time; 12.2.7. Where you remain inactive for any period of time determined by the Lender in its reasonable discretion; or 12.2.8. If the Lender decides to suspend or cease the provision of the Services for commercial reasons or for any other reason as it may determine in its absolute discretion. 12.2.9. If you have had a current or past listing with Credit Reference Bureau for a Non- performing account with any institution. 12.3. Termination shall however not affect any accrued rights and liabilities of either party.   13. DISPUTE RESOLUTION   13.1. Any dispute arising out of or relating to this Agreement, or the breach, termination or validity thereof (a Dispute) will be settled in accordance with the procedures set forth herein. 13.2. Disputes 13.2.1. The Parties shall use their good faith efforts to resolve any Dispute, controversy or claim of any nature whatsoever arising out of or in relation to or in connection with this Agreement. To this end, the Parties in dispute shall each promptly appoint representatives of appropriate standing who shall meet and attempt to resolve any Dispute between them. In the event that an amicable settlement has not been reached within thirty (30) days of the parties’ representatives meeting as aforesaid, the following provisions of this clause 11.2 shall apply. 13.3. Resolution 13.3.1. If any dispute arises out of or relating to this agreement, the parties will first attempt to settle it by mediation, in accordance with the procedures of the Dispute Resolution Centre or other procedures. If the dispute is not settled by mediation, it shall be referred to arbitration by a single arbitrator appointed jointly by the parties, and in default of agreement then by the Dispute Resolution Centre, which failing, then the Chairman of the Kenya Branch of the Chartered Institute of Arbitrators (“Institute”). 13.3.2. Such arbitration shall take place in Nairobi and shall be conducted in accordance with the Rules of Arbitration of the Institute. 13.3.3. To the extent permissible by law the determination of the arbitrator shall be final and binding upon the Parties and shall not be subject to any appeal. 13.4. Nothing in this clause 11 shall restrict either Party’s freedom to commence legal proceedings of any nature for the purposes of seeking preliminary injunctive relief or interim or conservatory measures from any court of competent jurisdiction pending the final decision or award of any arbitrator.   14. NOTICES AND COMMUNICATION   14.1. The Lender shall send information and communication concerning the use and/or access of the Service via Short Messaging Service (SMS) or writing to you through your mobile phone registered on the System. 14.2. You acknowledge, accept and confirm that you have no claim against the Lender for damages resulting from losses, delays, misunderstandings, mutilations, duplications or any other irregularities due to transmission of any communication information pertaining to use of the Service. 14.3. All notices made by the Customer to the Lender shall be in writing.   15. GOVERNING LAW   15.1. The Application and the Terms and Conditions shall be governed by and construed in accordance with the Laws of Kenya and the parties submit to the non-exclusive jurisdiction of the Kenyan courts. 15.2. Nothing in this clause shall limit the right of the Lender to take proceedings against the Borrower or any Relevant Party in any other court of competent jurisdiction nor shall the taking of proceedings at one or more jurisdictions preclude the taking of proceedings in another jurisdiction whether concurrently or not.   16. COMMUNICATION   16.1. No indulgence by the Lender in respect of any of its rights hereunder will operate as a waiver of its said rights nor will it constitute a novation thereof. 17.2. The Customer acknowledges that no representations or inducements to enter this Agreement have been made whether orally or otherwise other than those specifically referred to herein. 17.3. No failure on the part of any party to exercise, or delay on its part in exercising, any right, power or remedy provided by this Agreement or by law shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power or remedy preclude any further or other exercise of that, or any other, right, power or remedy. 17.4. If any provision or part of a provision of this Agreement shall be, or be found by any court of competent jurisdiction to be, invalid or unenforceable, such invalidity or unenforceability shall not affect the other provisions or parts of such provisions of this Agreement, all of which shall remain in full force and effect. I, the Borrower hereunder confirm that I have read, perused and understood the aforesaid terms and conditions to which I have agreed to be bound by without exclusion whatsoever. I also confirm that I have been made aware of and understand my rights under the Data Protection Act, 2019.     SCHEDULE A: PRODUCTS AND SERVICES   The Lender shall offer the following products differentiated by amounts, pricing, charges, fees and expenses to the Customer subject to the Customer being eligible for each product based on the Lenders assessment and at the sole discretion of the Lender to offer each or any of the products to the Customer.
